aivolut Select Partnership Terms

By participating in the aivolut Select Partner Program (the "Program"), you agree to these Terms and Conditions ("Terms"), which are legally binding.
1. Program Overview
The aivolut Select Partner Program is designed for SaaS, digital products, and service-based businesses to collaborate and mutually benefit from cross-promotion, increased exposure, and commission opportunities.
2. Partner Responsibilities
- Promotional Obligations: As a Partner, you agree to actively promote aivolut's apps, products, and services through mutually agreed-upon marketing channels (e.g., email, social media, etc.).
- Accurate Representation: You agree to accurately represent aivolut's products, services, and brand in all marketing efforts and communications.
- Sales Tracking: Partners must track sales driven to aivolut's apps and provide necessary details for commission calculation.
- Compliance: You agree to comply with all applicable laws, including advertising and privacy regulations, when promoting aivolut's products or services.
3. aivolut's Responsibilities
- Promotional Support: aivolut will provide the Partner with promotional materials and support as needed.
- Commission Payment: aivolut will pay commissions for sales driven to our apps by the Partner, based on the agreed-upon rates and terms.
- Confidentiality: aivolut will protect your business's confidential information in line with our privacy policies.
4. Commission and Payment Terms
- Commission Structure: Partners will earn a commission on sales driven to aivolut's apps. The exact commission rate will be outlined separately and agreed upon during onboarding.
- Payment Schedule: Commissions will be paid on a monthly basis. Payments will be made via PayPal, provided the minimum payout threshold is met.
- Taxes: Partners are responsible for any taxes associated with their earnings.
5. Privacy & Data Security
- Customer Data Protection: Partners must ensure that any data shared with aivolut, including customer information, is handled in compliance with applicable data protection laws, including GDPR, CCPA, and others.
- No Unauthorized Sharing: Partners agree not to share or disclose any customer data without prior consent and will maintain the confidentiality of all data.
- Security Measures: Both parties agree to implement reasonable security measures to protect sensitive data from unauthorized access or breaches.
- Data Use: Any personal data collected by either party during the course of this partnership must be used exclusively for fulfilling the Program's obligations and must comply with relevant privacy laws.
6. Liability and Indemnification
- No Liability for Damages: aivolut is not liable for any direct, indirect, incidental, special, or consequential damages arising from the Program or your participation in the Program.
- Indemnification: You agree to indemnify, defend, and hold aivolut harmless from any claims, damages, or liabilities resulting from your actions or any breach of these Terms.
7. Termination
- By Either Party: Either party may terminate this agreement at any time with 30 days' notice.
- For Cause: aivolut may terminate the agreement immediately if the Partner fails to meet promotional obligations, breaches confidentiality, or engages in illegal or unethical conduct.
- Effect of Termination: Upon termination, all pending commissions will be paid, and the Partner must cease using aivolut's promotional materials and stop promoting our products.
8. Confidentiality
Both parties agree to maintain the confidentiality of all proprietary information disclosed during the Program, including business strategies, customer information, and any data not made publicly available.
9. Modification of Terms
aivolut reserves the right to modify these Terms at any time. Any changes will be communicated to the Partner in advance, and continued participation in the Program after changes will signify acceptance of the updated Terms.
10. Governing Law and Dispute Resolution
These Terms will be governed by the laws of Singapore, and any disputes will be resolved through binding arbitration in Singapore, excluding conflict-of-law principles.
11. Miscellaneous
- Entire Agreement: These Terms constitute the entire agreement between aivolut and the Partner and supersede any prior agreements.
- Force Majeure: Neither party will be liable for delays or failure to perform due to circumstances beyond their control, including natural disasters, strikes, or government regulations.
By applying and participating in the aivolut Select Partner Program, you acknowledge that you have read, understood, and agree to these Terms.
